Board Committees

Scrutinises Director and Managing Director nominations against the Fit and Proper Criteria, recommends Directors’ and the Managing Director’s remuneration for shareholder approval, short-lists the Managing Director, recommends the CRO’s appointment and removal in consultation with the RAC, and owns DSE’s human-resource, compensation and appraisal policies.

The vehicle for separating DSE’s business activities from its self-regulation. Sets the regulatory plan and the Regulatory Affairs Division’s roles, budget and annual targets, recommends regulatory amendments to the Board, hears appeals against RAD enforcement actions and arbitration awards, and manages conflicts between commercial and regulatory functions.

Assists the Board in ensuring the financial statements give a true and fair view and that internal monitoring is sound. Responsible for internal financial, cost and management audits, assessment of investment and financial-management risk, oversight of accounting policies, internal control, risk management and the external auditors — reporting to the Board and, annually, to shareholders.

Decides appeals against decisions to take disciplinary action against officers and employees of the Exchange, with no member sitting on an appeal against a decision they took part in, and reviews the Disciplinary Procedures on a continuous basis.

Satisfies the Board that any perceived or actual conflict between DSE’s regulatory responsibilities and its commercial interests is addressed — including conflicts arising from the listing of the Exchange’s own shares — supervises Directors’ Code of Conduct disclosures, notifies the BSEC, and reviews the regulatory and reputational implications of strategic initiatives.
